Purpose Operations Terms Of Use
Effective Date: 1 October 2025
These Terms of Use (“Terms”) govern your access to and use of the websites, platforms, services, products, and content offered by Socially Conscious Group Pty Ltd (ACN 165 313 397) trading as Purpose Operations (“Purpose Operations”, “we”, “us”, or “our”).
Our registered office and principal place of business is in South Australia.
By accessing or using any Purpose Operations website, platform, academy, community, certification program, AI tool, or digital product, you agree to these Terms. If you do not agree, you must not access or use our services.
1. Acceptance of Terms
These Terms constitute a legally binding agreement between you and Purpose Operations. We may update these Terms from time to time. Continued use of the services after changes constitutes acceptance of the revised Terms.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are using the services on behalf of an organisation, you represent that you have authority to bind that organisation.
3. User Accounts
You must create an account to access most services. You agree to provide accurate, current, and complete information and to keep your account details up to date.
4. Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorised use.
5. Acceptable Use
You may use our services only for lawful purposes and in accordance with these Terms. You must comply with all applicable laws and any additional rules or guidelines we publish.
6. Prohibited Conduct
You must not interfere with the security or operation of the services or attempt to gain unauthorised access to any part of the platform.
7. Licence to Use the Platform
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our platforms and content for your internal business or personal professional development purposes.
8. Intellectual Property
All intellectual property rights in the Purpose Operations ecosystem remain our exclusive property or that of our licensors. This includes the Purpose Operations® and Purpose Ops™ brands, Enterprise Operating System frameworks, models, methodologies, maturity models, heatmaps, assessments, learning pathways, courses, videos, podcasts, books, whitepapers, templates, canvases, worksheets, diagrams, graphics, logos, icons, software, APIs, AI prompts, GPTs, databases, research, and training materials.
All improvements, adaptations, derivative works, translations, enhancements, modifications, and future versions of the Purpose Operations Framework and related materials remain the exclusive property of Purpose Operations. Nothing in these Terms transfers ownership of any intellectual property to you.
9. Copyright
All content is protected by copyright. You may not reproduce or distribute any content except as expressly permitted under these Terms or with our prior written consent.
10. Trade Marks
Purpose Operations, Purpose Ops, and all related logos and marks are trade marks of Purpose Operations. You may not use them without prior written approval.
11. Certification Rules and Restrictions
To maintain the integrity of our certifications you must complete identity verification where required, complete assessments honestly and independently, and refrain from plagiarism or submitting AI-generated work as your own.
Certification does not grant you permission to teach the Purpose Operations Framework, certify others, create derivative certifications, reproduce or distribute course material, or licence the framework to third parties unless separately authorised in writing by Purpose Operations. We may revoke any certification and suspend or terminate access if these rules are breached.
12. Academy Terms
Access to academy.purposeoperations.com is subject to these Terms and any specific course or program requirements published at the time of enrolment.
13. Community Guidelines
When using community.purposeoperations.com you must treat all members with respect and must not harass, discriminate, post spam, share illegal content, or impersonate others. We reserve the right to remove content and suspend or terminate membership at our sole discretion.
14. Memberships
Membership benefits are set out on the relevant membership page and may be modified with reasonable notice.
15. Subscription Services
Subscriptions automatically renew unless cancelled prior to the renewal date.
16. Payments
All fees are payable in advance. You authorise us to charge your nominated payment method for fees due.
17. GST
Where applicable, Australian GST will be added to fees and is payable by you.
18. Refund Policy
Except where required by the Australian Consumer Law, fees are non-refundable once a digital product has been accessed or downloaded, a course has commenced, or a certification assessment has been submitted.
19. Digital Products and Download Restrictions
Digital products are licensed, not sold. You receive a non-exclusive licence for personal or internal business use only.
You must not share accounts or passwords, share or redistribute downloads, upload downloads to third-party platforms, upload videos to YouTube or similar sites, or upload course content to any learning management system (LMS) without prior written consent.
20. Workshops and Recordings
Recording, photographing, screen capturing, or distributing any live or recorded workshop, training session, or webinar without our prior written consent is prohibited.
21. User Generated Content
You retain ownership of content you submit. By submitting content you grant us a worldwide, royalty-free licence to use, reproduce, and display that content in connection with the services.
22. AI Usage Policy
You may use Purpose Operations AI tools only within the functionality we provide. You must not scrape content, use automated extraction tools, upload our materials into public AI systems, or use our content to train, fine-tune, or create derivative AI or machine learning models. We reserve the right to use technical measures to detect unauthorised scraping, automated extraction, or AI training activities.
23. Privacy
Our collection and use of personal information is governed by our Privacy Policy.
24. Cookies
We use cookies and similar technologies as described in our Cookie Notice.
25. Third Party Services and External Links
We are not responsible for the content or practices of third-party services or websites linked from our platforms.
26. Warranties
We provide the services with due care and skill. Except for consumer guarantees under the Australian Consumer Law, we make no additional warranties.
27. Disclaimer and Availability
To the maximum extent permitted by law, we exclude all warranties not expressly set out in these Terms. We do not guarantee that the services will be uninterrupted, timely, secure, or error-free. The services may be temporarily unavailable due to maintenance, updates, or factors beyond our reasonable control.
28. Limitation of Liability
Subject to clause 33, our total liability to you is limited to the fees paid by you in the twelve months preceding the claim. We exclude liability for indirect or consequential loss.
29. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law that cannot be excluded, restricted, or modified.
30. Indemnity
You indemnify us against any loss arising from your breach of these Terms or misuse of the services.
31. Suspension and Termination
We may suspend or terminate access for breach of these Terms or for operational or security reasons. Upon termination, your right to access the services ceases immediately.
32. Force Majeure
We are not liable for delays or failures caused by circumstances beyond our reasonable control.
33. Electronic Communications
You consent to receive communications from us electronically.
34. Amendments
We may amend these Terms by publishing updated versions on our website.
35. Governing Law
These Terms are governed by the laws of South Australia and the Commonwealth of Australia.
36. Dispute Resolution
You agree to attempt to resolve disputes informally before commencing proceedings in the courts of South Australia.
37. Severability
If any provision is found invalid or unenforceable, the remaining provisions continue in full force.
38. Entire Agreement
These Terms, together with our Privacy Policy and any applicable program-specific agreements, constitute the entire agreement.
39. Definitions
“Services” means all websites, platforms, academies, communities, certifications, AI tools, digital products, and related offerings provided by Purpose Operations.
40. Confidential Information
You must keep confidential any materials identified as confidential or which would reasonably be understood to be confidential, including unpublished frameworks, assessments, facilitator guides, enterprise operating models, certification examination materials, and implementation methodologies.
41. Enterprise Client Responsibility
Where an organisation purchases or subscribes to the services, that organisation is responsible for ensuring all authorised users comply with these Terms.
42. Enterprise Framework Usage
Unless expressly authorised in writing, access to the Services and associated materials is licensed to the individual purchaser only. Enterprise-wide deployment, internal training programs, incorporation into organisational methodologies, commercial consulting, or redistribution of the Purpose Operations Framework requires a separate enterprise licence.
43. Lifetime Access
Where “lifetime access” is offered, this refers to the lifetime of the applicable product or service, not the lifetime of the purchaser.
44. Beta Services
Beta or pre-release services are provided “as is” without warranty and may be modified, suspended, or discontinued at any time without notice.
45. Export Control
You must comply with all applicable sanctions and export control laws when using the services.
46. Feedback
Any feedback, ideas, suggestions, or recommendations you provide regarding the services may be used by Purpose Operations without restriction and without any obligation to compensate you.
47. Assignment
We may assign or novate these Terms to any successor entity in connection with a merger, acquisition, corporate reorganisation, or sale of assets.
48. Survival
The following clauses survive termination: Intellectual Property, Confidential Information, Limitation of Liability, Indemnity, Governing Law, and any other provisions that by their nature should survive.
49. No Professional Advice
Content provided through the Services is for educational and informational purposes only. It does not constitute legal, financial, accounting, taxation, employment, investment, engineering, or other professional advice. You should obtain independent professional advice before relying on any content in relation to your particular circumstances.
